End User License Agreement

This End User License Agreement (the “Agreement”) is a legal agreement between you (“you” or “User”) and FuseGrid (“FuseGrid,” “we,” “us,” or “our”) governing your access to and use of the FuseGrid software, web application, desktop application, APIs, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree, do not use the Service.

1. License grant

Subject to your compliance with this Agreement, FuseGrid grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business or personal analytical use. FuseGrid retains all right, title, and interest in and to the Service, including all intellectual property rights.

2. The Service; modifications

The Service is a generally available, subscription-based service. We use commercially reasonable efforts to keep the Service available, subject to scheduled maintenance, dependencies on third-party services, and the disclaimers in Section 11. We are continuously improving the Service and may add, change, or remove features from time to time; if a change materially reduces the core functionality of a paid plan, we will provide reasonable advance notice.

You may need to create an account to use certain features. You agree to provide accurate information, keep your credentials secure, and be responsible for all activity that occurs under your account. Notify us promptly at support@fusegrid.io of any unauthorized use.

5. Third-party services and data connections

The Service enables you to connect to and import data from third-party services, including Intuit QuickBooks, cloud storage providers, and data warehouses. When you connect a third-party account, you authorize FuseGrid to access and process data from that account on your behalf in accordance with our Privacy Policy and the third party’s terms. You are responsible for ensuring you have the right to connect those accounts and share their data with FuseGrid.

With respect to Intuit products, you acknowledge that Intuit is not a party to this Agreement and has no obligations with respect to the Service, and that your use of Intuit products is governed by your separate agreement with Intuit.

6. Your data

As between you and FuseGrid, you retain all right, title, and interest in and to the data you submit to or access through the Service (“Your Data”). You grant FuseGrid a limited license to host, copy, transmit, and display Your Data solely as necessary to provide and improve the Service for you. Our handling of personal information is described in the Privacy Policy.

7. Fees, billing, and renewal

The Service is offered under paid subscription plans, priced per company as described on our pricing page or in an applicable order form. Fees are billed in advance on a monthly or annual basis, are payable in U.S. dollars, and, except as provided in Section 9 (30-day money-back guarantee) or as required by law, are non-refundable.

Your subscription renews automatically at the end of each billing period until you cancel. You may cancel at any time from your billing settings in the Service or by emailing support@fusegrid.io. Cancellation takes effect at the end of the then-current billing period: you will not be charged again, and you retain access to paid features through the end of that period. We may change our prices upon at least thirty (30) days’ notice; price changes take effect at your next renewal. Fees are exclusive of taxes, which you are responsible for where applicable. Payments are processed by a third-party payment processor; we do not store full payment card numbers.

8. Free trial

New subscriptions begin with a 14-day free trial. No payment method is required to start a trial, and you will not be charged unless you affirmatively subscribe to a paid plan. If you do not subscribe by the end of the trial, your access to paid features ends; Your Data remains subject to Section 6 and the Privacy Policy. Free trials are limited to one per customer and per company, and we may modify or discontinue free trial offers prospectively at any time.

9. 30-day money-back guarantee

We stand behind the Service: if the first month does not surface value worth more than the subscription, we will refund it. If you are dissatisfied with the Service for any reason, you may request a full refund of the first invoice for your first subscription (whether billed monthly or annually) by notifying us within thirty (30) days of the date that invoice was charged. No phone call or explanation is required — request the refund from your billing settings in the Service or by emailing support@fusegrid.io from the email address associated with your account.

Upon a valid request, we will refund the full amount of that first invoice to your original payment method, typically within ten (10) business days, and your subscription will be cancelled. This guarantee applies once per customer and once per company, and applies only to the first invoice of your first subscription — not to renewals, upgrades, additional companies, or any subsequent invoice. We may decline a refund where we determine in good faith that the guarantee is being abused (for example, repeated sign-ups intended to obtain successive refunds). This guarantee is in addition to, and does not limit, any non-waivable statutory rights you may have.

10. Confidentiality

Each party agrees to protect the other party’s non-public information disclosed in connection with the Service using the same degree of care it uses to protect its own confidential information of similar importance, and not less than a reasonable degree of care.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FUSEGRID DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DATA WILL BE ACCURATE OR RELIABLE.

THE SERVICE PRODUCES AUTOMATED FINANCIAL ANALYSES, FORECASTS, VALUATIONS, AND OTHER OUTPUTS, INCLUDING OUTPUTS GENERATED USING ARTIFICIAL INTELLIGENCE, FOR INFORMATIONAL PURPOSES ONLY. SUCH OUTPUTS DO NOT CONSTITUTE ACCOUNTING, TAX, INVESTMENT, LEGAL, OR OTHER PROFESSIONAL ADVICE, MAY CONTAIN ERRORS OR OMISSIONS, AND SHOULD BE INDEPENDENTLY VERIFIED BEFORE YOU RELY ON THEM FOR ANY BUSINESS, FINANCING, OR INVESTMENT DECISION.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL FUSEGRID BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE SERVICE. FUSEGRID’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100.00) OR THE AMOUNT YOU PAID FUSEGRID IN THE PRECEDING TWELVE MONTHS, WHICHEVER IS GREATER.

13. Indemnification

You agree to defend, indemnify, and hold harmless FuseGrid and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (i) your use of the Service, (ii) Your Data, or (iii) your violation of this Agreement or any applicable law.

14. Termination

You may cancel your subscription as described in Section 7 and stop using the Service at any time. FuseGrid may suspend or terminate your access to the Service at any time, with or without notice, including if we believe you have violated this Agreement. Upon termination, the license granted to you will immediately cease, and you must stop using the Service.

15. Changes to this Agreement

We may update this Agreement from time to time. If we make material changes, we will provide reasonable notice, such as by posting the updated Agreement at https://www.fusegrid.io/eula.html and updating the “Effective date” above. Your continued use of the Service after the effective date constitutes your acceptance of the updated Agreement.

16. Governing law

This Agreement is governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. You and FuseGrid agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of or relating to this Agreement, except that either party may seek injunctive relief in any court of competent jurisdiction.
